1. Description of Service
Retains provides a white-label gift card and store-credit management platform for multi-outlet brands — covering issuance, activation, redemption, reconciliation, notifications, and reporting across online and offline outlets.
2. Accounts
You must provide accurate information when creating a brand account and are responsible for the security of your login credentials and for the actions of any outlet staff accounts you create under your brand.
3. Pricing & Billing
- Platform access is currently free — there is no monthly subscription fee.
- A per-card issuance fee (a percentage of each gift card’s face value) applies to cards you issue, calculated monthly and invoiced at the start of the following month.
- A one-time setup fee applies at onboarding, based on your number of outlets.
- Fees are subject to change; we will provide advance notice before any change takes effect.
4. Acceptable Use
You agree not to use Retains to issue fraudulent or fictitious gift cards, to resell platform access without authorization, or to use the platform in violation of applicable law. We may suspend accounts that violate this section.
5. Gift Card Issuance & Redemption
Retains provides the technology platform. The issuing brand is solely responsible for honoring gift cards and store credit issued through Retains at its own outlets, and for the underlying goods or services those cards can be redeemed for.
6. Intellectual Property
Retains and its logo are the property of [YOUR LEGAL ENTITY NAME]. Your brand’s own content, logos, and data remain your property.
7. Termination
You may stop using Retains at any time. We may suspend or terminate accounts that violate these Terms. Outstanding fees remain payable upon termination, and we will provide reasonable time to export your data.
8. Limitation of Liability
To the extent permitted by law, Retains is not liable for indirect, incidental, or consequential damages arising from use of the platform. Our total liability is limited to the fees you paid us in the preceding three months.
9. Changes to These Terms
We may update these Terms from time to time. We’ll update the “Last updated” date above, and material changes will be communicated to brand admins in advance.
10. Governing Law
